These Terms & Conditions ("Terms") govern your use of the StableARK website at stableark.io ("Website") during the pre-launch period. The Website is operated by Nova Skill Edge Limited, a company incorporated in England & Wales with its registered office at 128 City Road, London, EC1V 2NX, United Kingdom (in these Terms, "StableARK", "we", "us", "our"). By using the Website or creating an account, you agree to these Terms. If you do not agree, please do not use the Website.
1. Scope & relationship to future Production Terms
The Website is currently in pre-launch. These Terms cover only your use of the Website itself — not the future StableARK wallet, payout, or remittance services. A separate set of production terms — covering account opening, customer onboarding, AML, KYC, payment instructions, fees, settlement, dispute resolution, and applicable payment-services and crypto-asset registration requirements — will be presented to and accepted by each customer before any production transaction is processed. Those production terms will govern that relationship and will supersede these Terms in respect of paid services.
2. Eligibility
You may use the Website only if:
- you are at least 18 years old;
- you are not a person with whom we are prohibited from dealing under applicable sanctions, export-control, or anti-terrorism laws (including those administered by the United Nations, the United Kingdom's Office of Financial Sanctions Implementation (OFSI), the United States Office of Foreign Assets Control (OFAC), or the European Union);
- your access to the Website is not prohibited by the laws of the place from which you access it.
3. Account creation & communications
When you create an account on the Website, you authorise us to send you transactional and informational emails about: confirmation of your registration; verification of your email address; notifications when payment corridors and product features launch in your country; invitations to closed beta or testing programmes; account-security alerts; product updates; and changes to these Terms or our Privacy Policy. You may opt out of marketing emails at any time by replying "unsubscribe" or by writing to hello@stableark.io; opting out will not affect emails strictly required for account security, account verification, or legal-notice purposes.
Creating an account does not by itself create a customer relationship to provide the future production wallet service, nor does it entitle you to hold or move funds through us. Provision of the production service is conditional on (i) the Website moving out of pre-launch, (ii) completion of identity verification under UK anti-money-laundering rules, and (iii) acceptance of separate production terms covering custody, fees, settlement, and dispute resolution.
4. Acceptable use
You agree not to:
- use the Website in any way that breaches any applicable law or regulation, or that infringes the rights of any third party;
- access, tamper with, or use non-public areas of the Website, our systems, or the technical delivery systems of our subprocessors, in breach of the Computer Misuse Act 1990;
- probe, scan, or test the vulnerability of any system or network, except as permitted under the responsible-disclosure policy at stableark.io/security.html;
- upload or transmit malicious code, viruses, or any other harmful technology;
- scrape, harvest, or otherwise collect data from the Website at a volume or rate that imposes an unreasonable load on it;
- impersonate any person, misrepresent any affiliation, or use the Website to defraud any person;
- use the Website to test, signal, or facilitate any payment scheme that is illegal or that breaches any sanctions regime.
5. Third-party freelancer platforms
StableARK references third-party freelancer marketplaces — including Upwork, Fiverr, Deel, and freelancer.com — as examples of platforms whose payouts our future wallet is designed to receive. Those names and logos are the property of their respective owners. We are not affiliated with, endorsed by, or sponsored by any of those platforms. Use of those services is governed by the terms of each respective platform, not by us, and we make no representation that any specific platform will work with the future production service.
6. Intellectual property
The Website and all content on it (including text, graphics, logos, code, the StableARK name, the exchange mark, and the orchestration diagram), other than user-supplied content and third-party marks identified in Section 5, are owned by Nova Skill Edge Limited or licensed to us, and are protected by copyright, trade-mark, and other intellectual-property laws. You may view and use the Website for the purpose of evaluating StableARK You may not copy, reproduce, modify, distribute, publicly display, or create derivative works of any material on the Website except (a) for personal, non-commercial reference, or (b) with our prior written permission.
7. Disclaimer of warranties
The Website is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, StableARK disclaims all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, accuracy, completeness, and uninterrupted or error-free operation. Information on the Website is illustrative; figures shown by the orchestration diagram are simulated for demonstration only and do not represent live transactions.
8. Limitation of liability
To the maximum extent permitted by applicable law, in no event shall StableARK, its directors, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or exemplary loss, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of, or inability to use, the Website, even if advised of the possibility of such loss.
Where liability cannot be excluded under applicable law, our total aggregate liability arising out of or in connection with your use of the Website during the pre-launch period is limited to one hundred pounds sterling (GBP 100). Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be lawfully excluded under English law (including under section 2 of the Unfair Contract Terms Act 1977 or section 31 of the Consumer Rights Act 2015 where you are a consumer).
9. Indemnity
You agree to indemnify and hold harmless StableARK and its directors, officers, employees, and agents from and against any claim, demand, loss, liability, damage, or expense (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Website, or your violation of any law or third-party right.
10. Privacy
Our handling of your personal data is described in the Privacy Policy, which forms part of these Terms.
11. Changes to these Terms
We may update these Terms from time to time. We will revise the "Last updated" date and, for material changes, give account holders reasonable advance notice by email. Continued use of the Website after the effective date of a change constitutes acceptance of the revised Terms. The current version is always available at stableark.io/terms.html.
12. Termination
We may suspend or terminate your access to the Website at any time, with or without cause and with or without notice, including if we believe you have breached these Terms. Sections 6 (Intellectual property), 7 (Disclaimer), 8 (Limitation of liability), 9 (Indemnity), 13 (Governing law), and 14 (General) survive termination.
13. Governing law & jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms or the Website, save that (a) StableARK may bring proceedings in any court of competent jurisdiction to protect its intellectual-property rights or to enforce a judgment, and (b) if you are a consumer resident in another part of the United Kingdom or the EU/EEA, you may also bring proceedings in the courts of your place of residence and benefit from any mandatory consumer-protection laws of that jurisdiction.
14. General
- Entire agreement. These Terms (together with the Privacy Policy and the Security Policy) constitute the entire agreement between you and StableARK in relation to the Website and supersede any prior understandings.
- No waiver. Our failure to enforce any right under these Terms is not a waiver of that right.
- Severability. If any provision is found unenforceable, the remaining provisions remain in full force and effect.
- Assignment. You may not assign or transfer your rights under these Terms. We may assign them to an affiliate or a successor in connection with a merger, acquisition, or sale of assets.
- Third-party rights. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision of these Terms.
- Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
- Language. The English version of these Terms is the controlling version. Any translation is provided for convenience only.
